The legal agreement between you and Trichada LLC governing the use of our services and website.
By accessing this website or using any services provided by Trichada LLC, you agree to be bound by these Terms and Conditions. Please read them carefully. If you do not agree with any part of these terms, you must not use our website or services.
1. Definitions
In these Terms and Conditions:
- "Company", "we", "us", "our" refers to Trichada LLC
- "Client", "you", "your" refers to the individual or entity accessing our website or engaging our services
- "Services" refers to all IT consultancy, managed IT, cloud infrastructure, cybersecurity, software development, helpdesk, and digital transformation services provided by Trichada LLC
- "Agreement" refers to these Terms and Conditions together with any signed service agreement or statement of work
- "Website" refers to trichaday.com and all associated pages
2. Acceptance of Terms
By using our website, submitting a contact form, or engaging our services, you confirm that:
- You are at least 18 years old and have the legal authority to enter into contracts
- If acting on behalf of a company, you have the authority to bind that company to this Agreement
- You have read, understood, and agree to be bound by these Terms and Conditions
3. Services
3.1 Service Description
Trichada LLC provides information technology consultancy activities and computer facilities management services as described on our website and in individual service agreements. The exact scope, deliverables, and timeline for each engagement will be defined in a separate statement of work or service agreement.
3.2 Service Plans
Our subscription plans (Basic, Standard, Premium, Enterprise) provide access to specified service levels on a monthly basis. The features and limitations of each plan are described on our Services page and may be updated from time to time with reasonable notice.
3.3 Service Availability
We strive to maintain high service availability in accordance with the SLA applicable to your plan. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors outside our control, including internet service failures, third-party platform outages, or force majeure events.
3.4 Client Responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide accurate, complete, and timely information we request
- Grant necessary access to systems, data, and premises as agreed
- Designate an authorized point of contact for communication
- Comply with all applicable laws in your use of our services
- Not use our services for any unlawful, fraudulent, or harmful purpose
4. Payment Terms
4.1 Pricing
All prices are stated in Euros (€) and exclusive of any applicable taxes unless otherwise stated. Prices are subject to change with 30 days' written notice for existing clients.
4.2 Invoicing
Monthly subscription invoices are issued at the beginning of each billing cycle. Project and consultancy fees are invoiced as specified in the relevant statement of work.
4.3 Payment Methods
We accept payment via bank transfer and cash on delivery. No online payment processing is required. Payment terms are net 14 days from invoice date unless otherwise agreed.
4.4 Late Payment
Invoices not paid within the agreed payment terms may incur a late payment fee of 1.5% per month on the outstanding balance. Trichada LLC reserves the right to suspend services for accounts with invoices outstanding beyond 30 days.
5. Intellectual Property
5.1 Trichada LLC IP
All intellectual property on our website — including but not limited to text, graphics, logos, and proprietary methodologies — is owned by or licensed to Trichada LLC. Nothing in this Agreement transfers ownership of our intellectual property to you.
5.2 Deliverable IP
Unless expressly agreed otherwise in a signed statement of work:
- Custom software, documentation, and deliverables created specifically for you become your property upon full payment
- Trichada LLC retains ownership of pre-existing tools, frameworks, and methodologies used in delivering the work
- We retain a non-exclusive license to use anonymized project knowledge for internal training and methodology improvement
5.3 Client IP
All intellectual property, data, and systems you provide us access to remain your property. We will not use your data for any purpose other than delivering the agreed services.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the engagement. This obligation:
- Applies to technical specifications, business strategies, client data, and pricing
- Continues for 3 years after termination of the Agreement
- Does not apply to information that is publicly available, independently developed, or required to be disclosed by law
7. Data Protection
Each party agrees to comply with applicable data protection laws. Where Trichada LLC processes personal data on your behalf as a data processor, a separate Data Processing Agreement (DPA) may be required. Please refer to our Privacy Policy for details on how we handle personal data.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Trichada LLC's total liability for any claim arising under this Agreement is limited to the total fees paid by you in the 3 months preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages including loss of profits, data, or business opportunities
- We do not exclude liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation
9. Warranties and Disclaimers
We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. We do not warrant that:
- Services will be uninterrupted or error-free at all times
- Our services will meet every specific requirement not agreed in writing
- All cybersecurity measures will prevent every possible threat (no security solution is absolute)
The website and its content are provided "as is" without warranties of any kind, express or implied.
10. Termination
10.1 By Client
You may terminate your subscription at any time by providing written notice. Access will continue until the end of the current billing period. See our Refund Policy for applicable terms.
10.2 By Trichada LLC
We may terminate or suspend your access immediately if:
- You materially breach these Terms and fail to remedy the breach within 14 days of written notice
- You fail to pay invoices within 30 days of the due date
- You engage in illegal, abusive, or fraudulent activity in connection with our services
10.3 Effect of Termination
Upon termination, access to services will cease and all outstanding fees become immediately due and payable. Each party will return or destroy the other's confidential information upon request.
11. Acceptable Use
You agree not to use our services or website to:
- Violate any applicable local, national, or international laws or regulations
- Transmit or store malware, viruses, or any malicious code
- Infringe the intellectual property rights of any third party
- Harass, threaten, or harm any individual or organization
- Attempt unauthorized access to any system, network, or data
- Engage in any activity that could damage our reputation or systems
12. Third-Party Services
Our services may involve or recommend third-party platforms, tools, or vendors (e.g., cloud providers, software vendors). Trichada LLC is not responsible for the performance, availability, or terms of such third-party services. Use of third-party services is subject to their respective terms and conditions.
13. Force Majeure
Neither party will be liable for failure or delay in performing obligations caused by events beyond their reasonable control, including natural disasters, pandemics, government actions, internet infrastructure failures, or acts of war. The affected party must notify the other promptly and resume performance as soon as reasonably possible.
14. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with applicable laws. Any dispute arising from or related to this Agreement shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, disputes may be referred to mediation before any legal proceedings are initiated.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
16. Changes to These Terms
Trichada LLC reserves the right to update these Terms and Conditions at any time. We will provide at least 14 days' notice of material changes to active clients. Continued use of our services after the effective date constitutes acceptance of the revised terms.
17. Entire Agreement
These Terms and Conditions, together with any signed service agreement or statement of work, constitute the entire agreement between you and Trichada LLC regarding our services, and supersede all prior communications, representations, or agreements.
